Terms of Service

What you and ChiefLab are agreeing to when you use the service. Plain English where possible, legal where required.

Short version: ChiefLab drafts marketing copy and stages publish/send actions behind explicit human approval. You own the copy. We own the platform. We don't auto-publish anything. We don't train on your data. We don't share across workspaces.

1. Who can use ChiefLab

You may use ChiefLab if you are at least 16 years old and can lawfully enter into a binding agreement. You agree to comply with applicable law and the terms of any platform you publish or send through (LinkedIn, X, Resend, email providers, etc.) when you use ChiefLab to publish or send.

You are responsible for everything done under your workspace API key. Keep it secret. If it leaks, rotate via chieflab_revoke_provider_key and email security@chieflab.io.

2. What ChiefLab does

ChiefLab is an execution operator for agent-built products. It drafts marketing copy from repo and brand context, stages publish/send actions for explicit human approval, fires those actions through connectors you've authorized, and records outcomes back into your workspace brain. The full mechanics are documented at /trust.

ChiefLab does not auto-publish, auto-send, or auto-charge anything without an explicit per-action approval through a signed reviewUrl. That guarantee is the product; see /spec/v0.1 for the contract.

3. What you own / what we own

You own the outputs. Marketing copy, images, briefs, and any other content ChiefLab generates from your inputs (repo context, brand profile, goals) belong to you. We assign to you, perpetually and irrevocably, whatever IP rights vest in those outputs in your jurisdiction. Where machine-generated outputs cannot be owned by a person under local law, we license them to you on a perpetual, royalty-free, sublicensable basis.

We own the platform. The ChiefLab software, the execution-trust spec, our internal models, our infrastructure, our brand assets — those remain ours.

You grant us a narrow operational license. By submitting inputs (repo context, prospect data, brand profile, voice samples), you grant us a worldwide, royalty-free license to process those inputs solely to provide the service to you. We do not train models on your inputs. We do not use your inputs to improve outputs for other customers. We do not share your inputs across workspaces. 4. Acceptable use

The Acceptable Use Policy is incorporated into these terms. In short: don't use ChiefLab to harm people, violate laws, send unsolicited bulk outbound where consent is required, or break the ToS of platforms you publish to. We may suspend or terminate access for violations.

5. Beta status & no warranty

ChiefLab is in active development. Features ship and break. We commit to honest disclosure of known limits at /trust and to documenting breaking changes at /roadmap. We do not commit to backwards compatibility on undocumented surfaces.

To the maximum extent permitted by law, ChiefLab is provided "as is" without warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Outputs are AI-generated drafts and may contain errors; you must review before approving any external action.

6. Limitation of liability

To the maximum extent permitted by law, ChiefLab's aggregate liability for any claim arising out of or relating to these terms is capped at the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) SGD 100. Neither party is liable for indirect, consequential, incidental, or special damages.

Nothing in this clause limits liability for: (i) death or personal injury caused by negligence, (ii) fraud or fraudulent misrepresentation, (iii) gross negligence or willful misconduct, or (iv) any liability that cannot be limited under applicable law.

7. Indemnification

You will indemnify ChiefLab for third-party claims arising from (a) your use of ChiefLab in violation of these terms or applicable law, (b) content you ship through ChiefLab that infringes third-party rights or violates platform ToS, or (c) actions you approved through a reviewUrl that caused harm to a third party. We will give you prompt notice of any claim and reasonable cooperation.

We will indemnify you for third-party claims that the ChiefLab service itself — excluding your inputs and your approved actions — infringes a third party's IP rights, subject to standard exclusions (combination claims, use after we provide a non-infringing alternative, modifications you make).

8. Termination

You may terminate at any time by deleting your workspace via chieflab_delete_workspace({ confirm: "DELETE-MY-WORKSPACE" }), or by emailing hi@chieflab.io with your workspace ID. We will hard-delete your data per the retention windows in the Privacy Policy.

We may suspend or terminate your access with reasonable notice for material breach of these terms or the AUP, and immediately for unlawful use, content that harms people, or non-payment of fees beyond a reasonable cure period. On termination, you may export your data via chieflab_export_workspace() for 30 days; after that the hard-purge runs.

9. Governing law and disputes

These terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the courts of Singapore, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

Each party waives any right to trial by jury to the extent permitted by law.

Note: ChiefLab is finalizing incorporation. If we incorporate as a Delaware C-corporation (YC-standard structure), this clause will update to Delaware law + a designated US venue. We will notify you 30 days before that change takes effect; substantive obligations elsewhere in these terms will not change.

10. Changes

We will give 30 days notice of material changes to these terms via email to your workspace owner and a banner in /app. Continued use after the effective date is acceptance. Non-material changes (typos, clarifications, link updates) may take effect on posting; this page tracks the last-updated date.
